SERVICE AGREEMENT TERMS AND CONDITIONS
DEFINITIONS:
For the purpose of this Agreement, the following terms shall have the meanings ascribed to them below:
SERVICE PROVIDER: The individual or legal entity providing the services, identified as SOUND ROUND PRODUCTIONS INC.
SERVICE USER: The party receiving the services, identified as SOUND ROUND PRODUCTIONS INC.
SERVICES: The specific services to be provided by the SERVICE PROVIDER to the SERVICE USER, including but not limited to artistic, musical, cinematographic, and technical services.
DURATION: Twelve (12) months from the date the Services are provided, during which time the SERVICE PROVIDER must promptly and at no cost to SOUND ROUND PRODUCTIONS INC., rectify any defects in the Services and any failures to meet service levels, errors, or lack of service provision detected. SOUND ROUND PRODUCTIONS INC. shall immediately notify the SERVICE PROVIDER in writing of any costs or payments incurred as a result of defects in the Services, failure to meet service levels, errors, or failures in service provision, and the SERVICE PROVIDER shall reimburse SOUND ROUND PRODUCTIONS INC. for such costs or payments.
AGREEMENT AND OBLIGATIONS OF THE PARTIES:
The SERVICE PROVIDER must comply with all assigned activities within the agreed-upon times to prevent damage to the operations or interruption of the assets of SOUND ROUND PRODUCTIONS INC. Any willful or negligent failure to comply with any obligation assumed by the SERVICE PROVIDER shall constitute grounds for termination of the service agreement by the COMPANY. The SERVICE PROVIDER shall provide the services at the location, time, and date(s) agreed upon by the parties, as explicitly stated in the service agreement, employment offer, email, communication, work order, or any other document issued by SOUND ROUND PRODUCTIONS INC.
SCOPE, SERVICE RATES, AND PAYMENT TERMS:
The scope of the terms and conditions described herein applies to all contracting models (verbal or written) without distinction as to duration (permanent, fixed-term, hourly, among others). Understanding HUMAN TALENT to mean “artists, producers, musicians, cameramen, professional photographers, sound and lighting engineers, technical or administrative personnel, and collaborators in general who maintain a labor relationship with SOUND ROUND PRODUCTIONS INC.
SOUND ROUND PRODUCTIONS INC. undertakes to pay the fees established for the amount and term indicated in the Service Agreement. As well as issuing payment receipts for the SERVICE PROVIDER. The SERVICE PROVIDER has 72 hours to dispute the terms and conditions agreed with the company. At the end of this period, it will be understood that it agrees with all the terms and conditions presented by the company in the payment receipt. The parties fully accept the terms and conditions, and also assume the rights and obligations that have been developed in this legal instrument. Therefore, the signature of those involved is not required to meet the obligations set out in the receipt after the payment has been accepted.
BENEFITS:
SOUND ROUND PRODUCTIONS INC. grants the SERVICE PROVIDER the opportunity to sell advertising for any of its products to other companies or sponsors up to a maximum of US$2,000.00. 50% of the sale of this advertising belongs to the SERVICE PROVIDER and the remaining 50% belongs to SOUND ROUND PRODUCTIONS INC. The total amount of the sale must be transferred to the following bank account of SOUND ROUND PRODUCTIONS INC:

Once the transfer is reflected in the company’s account, the corresponding transfer to the SERVICE PROVIDER will be made within a maximum period of 72 hours. In cases where the sale exceeds US$2,000.00, it is at the discretion of the COMPANY to establish a new distribution percentage previously agreed with the SERVICE PROVIDER.
The SERVICE PROVIDER, when selling our advertising, must adhere to the following rate schedule:
Small – Bronze Sponsor: $100 – $400
Medium – Silver Sponsor: $401 – $800
Large – Gold Sponsor: $900 or more
LEGITIMATE USE:
The products resulting from the provision of the service are the exclusive property of the SOUND ROUND PRODUCTIONS INC. Record, publisher, and producer. The SERVICE PROVIDER is strictly prohibited from commercial use for personal profit purposes, which do not relate to or benefit SOUND ROUND PRODUCTIONS INC., and its trademarks.
SUBCONTRACTING:
The SERVICE PROVIDER may not subcontract the services contracted under the service agreement without the prior authorization of SOUND ROUND PRODUCTIONS INC.

GIFTS AND REASONABLE ATTENTIONS:
The Service Provider may offer or accept reasonable gifts and attentions, as SOUND ROUND PRODUCTIONS INC. understands that they can play a positive and legitimate role in building relationships with business partners. In general, it is considered acceptable if it meets the following conditions:
The gift or attention must be reasonable, that is, it must not be luxurious or extravagant.
The value of the gift or attention must be proportional to the business relationship and must not be excessive.
Gifts and hospitality should not be used to gain undue advantage or create conflicts of interest.
They should not generate a sense of obligation or affect the judgment of the recipient.
They should not influence any business decision or give rise to perceptions of undue influence.
SOUND ROUND PRODUCTIONS INC. sets limits to ensure that gifts and hospitality comply with local practices and laws, including laws against bribery. If you have any doubts about the limits, consult with the Human Talent department.

The Service Provider must take care in all their actions by demonstrating commitment to quality:
By meeting client and user requirements, ensuring proper compliance with national and international standards and regulations.
Developing and innovating with artistic, musical, and audiovisual creations and works.
Maintaining effective communication with our clients, sponsors, suppliers, and collaborators.
Efficiently seeking solutions to simple and/or complex problems, carrying them out to high standards of quality and success.
Achieving extraordinary results for the benefit of the common good.
CONFIDENTIALITY AND NON-DISCLOSURE:
The Service Provider shall refrain from disclosing, publishing, or communicating, directly or indirectly to third parties any information that they become aware of by virtue of the service agreement and the performance of the services or for any other reason. For these purposes, the Parties agree that disclosing or transmitting any information received from the other Party (Confidential Information) may harm their businesses or reputation, and it shall also constitute grounds for termination of the agreement and indemnification for damages and losses suffered. Therefore, the Service Provider must maintain a responsible culture regarding the management of information assets; under no circumstances may they disseminate classified and private company information to the general public; to obtain any personal gain or benefit for others other than the company. We refer to information assets as all verbal or written information such as financial data, operational data, trade secrets, customer information, project development, intellectual property rights, trademarks, patents, copyrights, social media, information on artists and musical bands, or other information related to the business of the company, its operational activities, or future plans. Likewise, human talent is committed and obliged to respect the laws and regulations of the company regarding the protection of information assets; therefore, they may not disclose confidential information during the contractual and prospective relationship, or after its termination. The parties will keep all confidential information received as industrial secrets and property of the company, and it may not be used verbally or in writing for any purpose other than the sole interest and benefit of the company. In accordance with 18 U.S.C. §1833 (b), the Trade Secrets Act of 2016, which stipulates that an individual cannot be criminally or civilly liable, nor subject to any federal, state, or international law, to disclose a trade secret: (i) made in confidence to a government official, either directly or indirectly, or to a lawyer, solely for the purpose of reporting or investigating a suspected violation of the law; or (ii) in a complaint or other document filed in a lawsuit or other proceeding
